Terms of Use and End-User Licence Agreement (EULA)
PLEASE READ BEFORE SUBSCRIBING OR USING FUNDIBILL
These Terms of Use and End-User Licence Agreement (“Terms”) govern your access to and use of FundiBill, a subscription-based invoicing application operated by FundiAI (Pty) Ltd. By ticking the acceptance checkbox at signup or checkout, or by using FundiBill in any way, you confirm that you have read, understood, and agree to be bound by these Terms. If you do not agree, do not subscribe to or use FundiBill.

1. WHAT IS FUNDIBILL?
1.1 FundiBill is a web-based invoicing and billing application built by FundiAI (Pty) Ltd for South African small businesses and sole traders. It lets you create, send, and track professional invoices; manage client records; and generate basic financial reports.
1.2 FundiBill is provided as a subscription service. You pay a recurring fee to access the application — access continues for as long as your subscription is active and in good standing.
1.3 FundiBill is not a full accounting system and does not constitute financial, tax, or legal advice. It does not generate SARS-compliant VAT returns, CIPC filings, or audited financial statements. You remain responsible for your own tax and regulatory compliance.
2. SUBSCRIPTION PLANS AND PRICING
2.1 FundiBill is available on the following subscription plans:

2.2 All prices are quoted in South African Rand (ZAR) and are inclusive of VAT where applicable. FundiAI will confirm the VAT position on invoices.
2.3 Annual subscribers pay one upfront fee (R299) covering 12 months of access. This is not a monthly debit — it is a single annual charge.
2.4 FundiAI reserves the right to adjust subscription pricing with no less than 30 days written notice to active subscribers. Price changes take effect at the start of your next billing cycle after the notice period. If you do not accept the new price, you may cancel before the new cycle begins.
3. YOUR SUBSCRIPTION AND LICENCE
3.1 When your payment is confirmed, FundiAI grants you a non-exclusive, non-transferable licence to access and use FundiBill for your own internal business purposes for the duration of your active subscription period.
3.2 Your subscription is for one business entity. You may not share your login credentials or access with other businesses or individuals.
3.3 Your licence is active only while your subscription is current and all payments are up to date. Access is suspended or terminated if payment fails or your subscription is cancelled.
3.4 You may not:
- Sell, sublicence, rent, or transfer your subscription or access to anyone else.
- Reverse engineer, decompile, or copy any part of FundiBill.
- Use FundiBill to develop a competing product or service.
- Use FundiBill in any way that violates these Terms or South African law.
4. WHAT IS INCLUDED IN YOUR SUBSCRIPTION
- Access to all FundiBill invoicing, client management, and reporting features available during your subscription period.
- Feature updates and improvements released during your active subscription at no additional charge.
- Bug fixes and performance improvements.
- Access to FundiAI’s standard support channels (email support at info@fundiai.co.za) for subscription-related queries.
5. WHAT IS NOT INCLUDED
5.1 SARS-compliant accounting: No VAT returns, CIPC filings, or audited financial statements.
5.2 Financial, tax, or legal advice of any kind.
5.3 Dedicated or priority support beyond standard email response times.
5.4 Data backup as a managed service: You are responsible for maintaining your own backups of your invoicing data (see clause 10).
6. BILLING AND PAYMENT
6.1 Accepted payment methods: EFT (bank transfer) or PayFast (card / instant EFT).
6.2 Monthly subscriptions are billed at the start of each calendar month. Annual subscriptions are billed on the anniversary of your signup date.
6.3 Auto-renewal. Your subscription automatically renews at the end of each billing cycle (monthly or annually) unless you cancel before the renewal date. By subscribing, you authorise FundiAI to charge your nominated payment method for the renewal amount at the start of each new cycle.
6.4 Renewal reminder. For annual subscribers, FundiAI will send a renewal reminder by email at least 14 days before your annual renewal date, stating the renewal amount and renewal date.
6.5 Failed payments. If a payment fails, FundiAI will notify you by email. You have 7 (seven) days from the date of that notice to settle the outstanding amount. If payment is not received within 7 days, your account may be suspended and access to FundiBill restricted until payment is made. If payment remains outstanding for 30 days after the due date, FundiAI may terminate your subscription.
6.6 Price adjustments. FundiAI may adjust subscription prices from time to time (see clause 2.4). Adjustments do not apply mid-cycle — they take effect at the start of your next billing cycle.
7. CANCELLATION
7.1 You may cancel your FundiBill subscription at any time by contacting FundiAI at info@fundiai.co.za or through the cancellation option in your account settings (where available).
7.2 Monthly subscribers: Cancellation takes effect at the end of the current monthly billing cycle. You retain access until that date. No further charges are made after cancellation is confirmed.
7.3 Annual subscribers: Cancellation takes effect at the end of the current annual billing period. You retain access until the end of the period already paid for. No partial refund is issued for unused months within an annual period, except as required by law or as set out in clause 8.
7.4 Data after cancellation. After your subscription ends, your account and data are retained for 30 (thirty) days, during which you may log in and export your data. After 30 days, your account and associated data may be permanently deleted. FundiAI is not responsible for data loss after this period if you have not exported your records.
7.5 Resubscription. You may resubscribe at any time after cancellation. Your previous data may not be recoverable if the 30-day retention period has passed.
8. REFUNDS
8.1 Monthly plan: Because the subscription is billed monthly and you may cancel at any time before your next cycle, monthly fees are non-refundable once a billing cycle has commenced.
8.2 Annual plan: Annual subscription fees are non-refundable once the subscription period has commenced, except where: (a) FundiBill materially fails to perform its core invoicing function and FundiAI cannot remedy the failure within a reasonable time; or (b) a refund is required under applicable South African consumer protection law.
8.3 FundiAI may, at its discretion, offer a pro-rata refund for the unused portion of an annual subscription in exceptional circumstances. This is not a general right and will be assessed case by case.

9. CONSUMER PROTECTION AND COOLING-OFF RIGHTS
9.1 Section 44 of the Electronic Communications and Transactions Act, 25 of 2002 (“ECTA”) gives consumers a 7-day cooling-off period in which they may cancel certain electronic transactions without reason or penalty.
9.2 For monthly subscriptions: You may cancel within 7 days of your initial subscription date without penalty, and receive a full refund of your first month’s fee, provided you have not used FundiBill to create or send any invoices during that period. Contact info@fundiai.co.za within the 7-day window to request cancellation under this clause.
9.3 For annual subscriptions: By subscribing to the annual plan and requesting immediate access to FundiBill, you expressly request delivery of the service before the 7-day cooling-off period expires. You acknowledge that once your account is activated and you have used FundiBill (including creating, saving, or sending any invoice), you waive the ECTA section 44 right to cancel for that annual period. If you have not used the service at all, you may request cancellation and a full refund within 7 days of signup.
9.4 These provisions do not affect any rights you have under the Consumer Protection Act, 68 of 2008 in relation to defective services, or any other right that cannot lawfully be excluded.
10. YOUR DATA AND POPIA
10.1 Your data is yours. The invoices, client records, and information you enter into FundiBill belong to you.
10.2 You are the Responsible Party under POPIA for any personal information you enter about your own clients and employees. You must have a lawful basis for that processing, including for sending invoices.
10.3 You are responsible for maintaining your own backups of your FundiBill data throughout your subscription and especially before cancellation (see clause 7.4).
10.4 FundiAI will not sell your data to third parties. FundiAI processes only the minimum information necessary to operate the service (account details, subscription status, usage data, support queries). See our Privacy Policy at www.fundiai.co.za for full details.
10.5 Data portability. You may request an export of your FundiBill data at any time during your active subscription by contacting info@fundiai.co.za. FundiAI will provide your data in a commonly used format within a reasonable time.
11. YOUR ACCOUNT AND SECURITY
11.1 Register using accurate information and keep your login credentials confidential.
11.2 You are responsible for all activity that takes place under your account.
11.3 Report any suspected unauthorised access immediately to info@fundiai.co.za. FundiAI may suspend your account to protect you while investigating.
12. ACCEPTABLE USE
You may not use FundiBill to:
- Create fraudulent or fictitious invoices.
- Invoice for unlawful goods or services.
- Facilitate money laundering or illegal transactions.
- Impersonate or deceive any person or business.
- Interfere with or attempt to access FundiBill infrastructure without authorisation.
Violating these rules may result in immediate account suspension and subscription termination without refund.
13. THIRD-PARTY SERVICES
FundiBill may rely on third-party providers for hosting, email delivery, and payment processing. FundiAI is not responsible for the performance, availability, or policies of those providers. Disruptions to third-party services may temporarily affect FundiBill availability.
14. SERVICE AVAILABILITY
14.1 FundiAI aims to keep FundiBill available and operational but does not guarantee 100% uptime. Scheduled maintenance, updates, or third-party infrastructure issues may occasionally cause downtime.
14.2 Where planned maintenance will cause significant downtime, FundiAI will give reasonable advance notice by email or in-app notification where practicable.
14.3 Extended unplanned outages (exceeding 72 consecutive hours) may entitle monthly subscribers to a pro-rata credit for the affected period, at FundiAI’s discretion.
15. NO WARRANTIES
15.1 FundiBill is provided “as is”. FundiAI does not warrant that the application will be error-free, uninterrupted, or fit for any purpose beyond its described invoicing function.
15.2 FundiAI does not warrant that invoices generated comply with any specific legal or regulatory format. You must verify compliance with South African invoicing and tax requirements.
16. UPDATES AND CHANGES TO FUNDIBILL
16.1 As an active subscriber, you automatically receive feature updates and improvements released during your subscription period at no additional cost.
16.2 FundiAI may change, update, or remove features from FundiBill. Where a change materially removes a feature you rely on, FundiAI will provide at least 30 days written notice, during which you may cancel your subscription and receive a pro-rata refund for the unused portion of your current cycle.
16.3 Discontinuation. If FundiAI discontinues FundiBill entirely, all active subscribers will receive at least 90 days notice and the opportunity to export their data before access is removed. A pro-rata refund will be issued for any prepaid subscription period remaining after the discontinuation date.
17. LIMITATION OF LIABILITY
17.1 FundiAI is not liable for indirect or consequential losses arising from your use of FundiBill, including lost revenue, missed invoices, data loss, or business interruption.
17.2 FundiAI’s maximum aggregate liability to you in any 12-month period is limited to the total subscription fees you paid to FundiAI during that same 12-month period.
17.3 Nothing in these Terms limits liability for fraud, gross negligence, or any liability that cannot be excluded under South African law.
18. TERMINATION BY FUNDIAI
18.1 FundiAI may suspend or terminate your subscription with immediate effect if you: (a) materially breach these Terms and fail to remedy the breach within 10 business days of written notice; (b) engage in fraudulent or unlawful use of FundiBill; or (c) fail to pay any outstanding subscription fee within 30 days of the due date.
18.2 On termination for breach, your access will be revoked immediately. No refund is issued for termination due to your breach. You may request a data export within 30 days of termination.
18.3 Where FundiAI terminates your subscription for reasons other than your breach (e.g., discontinuation of the service), clause 16.3 applies and a pro-rata refund will be issued.
19. CHANGES TO THESE TERMS
FundiAI may update these Terms from time to time. We will notify you by email and/or via an in-app notification at least 14 days before changes take effect. If you continue using FundiBill after the updated Terms take effect, you are deemed to have accepted the changes. If you do not accept the updated Terms, you may cancel your subscription before the changes take effect and receive a pro-rata refund for any prepaid period.
20. GOVERNING LAW
These Terms are governed by South African law. Any disputes will be handled under South African law, in Cape Town, unless otherwise agreed in writing.
